These terms and conditions apply to each product package set out in the Product Schedule (each a “Product Package” and together the “Product Packages”). References in this document to “us”, “we” or “our” shall refer to Sentiment Matters Ltd and references to “you” or “your” shall refer to each subscriber or user of a Product Package.
Please read these terms and conditions carefully before subscribing to any Product Package. By subscribing to a Product Package you agree to these terms and conditions. Where more than one user is permitted under a Product Package, each user shall be deemed to accept these terms and conditions upon accessing any product or service provided as part of that Product Package.
Intellectual Property
Unless otherwise stated, all products, material and content provided as part of a Product Package or on Sentiment-matters.com (the “Website”), including but not limited to text, graphics, images, and logos, are the intellectual property of Sentiment Matters Ltd and are protected by copyright laws. You may not reproduce, distribute, modify, or publicly display any part of the products, material or content without our prior written consent.
Your Status
You represent and warrant that you have full power and authority to enter into these terms and conditions and to perform your obligations hereunder. Any individual accepting these terms and conditions on behalf of a Product Package subscriber confirms that they are duly authorised to do so and that no further approvals or consents are required to bind the subscriber or any user to these terms and conditions.
Product Package Subscriptions
Details of subscription costs and services provided for each Product Package are set out in the Product Schedule. A subscription entitles you, or in relation to a multi-user Product Package, each named user, to make personal use of the subscriber-only information provided on the Website and by email as part of the Product Package. A subscription is personal to you or in relation to a multi-user Product Package, to the named user. Subscriptions are non-transferrable and changes to named users are not permitted without our prior written consent.
Subscriptions to a Product Package may be on a monthly or an annual basis. The subscription term will commence upon payment of the first monthly or annual subscription payment, as applicable, and will renew automatically until cancelled.
The products and services provided under a Product Package are deemed delivered once they have been sent to you by email or made available to you on the Website.
Cancellation
You can cancel your subscription at any time by sending a notice of subscription cancellation to us at: info@sentiment-matters.com. If notice is received on a London business day prior to 5.00pm London time, the notice shall take effect on that business day. Any notice received after 5.00pm or on a day that is not a London business day shall be deemed effective on the next London business day. Upon such notice becoming effective, your Subscription will expire at the end of the then current Subscription period.
Notwithstanding the above, if you have an annual subscription and:
(i) your subscription cancellation is as a result of a material change to these terms and conditions, as set out in the Changes to these Terms & Conditions clause below, and provided your notice of subscription cancellation is effective prior to the revised terms and conditions taking effect, your subscription will expire at the end of the day immediately preceding the day on which the updated terms and conditions become effective; or
(ii) your subscription cancellation is as a result of a Force Majeure Event, as set out in the Force Majeure clause below, your subscription will end on the next monthly anniversary of the date on which your subscription commenced, following the effective date of the notice of subscription cancellation.
Refunds of subscription fees paid will be calculated in accordance with the Refunds clause below.
Upon expiry of your subscription you will have no further access to any products or services provided as part of a Product Package and no further subscription fees shall be due.
Breach of Terms & Conditions
We reserve the right to cancel a subscription at any time and without notice or liability if we believe these conditions have been breached and no refund of subscription fees paid shall be due. We may refuse to renew subscriptions at our discretion.
Changes to these Terms & Conditions
We reserve the right to update or modify these terms and conditions at any time. Such revised terms and conditions shall be published on the Website and shall apply to relevant Product Packages from the date of such publication. If, in our reasonable opinion, such changes are considered materially adverse to you, we will notify you by email or by posting a notice on the Website in reasonable time prior to the changes taking effect. Your continued subscription to a Product Package after such changes are effective, will constitute your acceptance of the revised terms and conditions. Where an adverse material change has been made to the terms and conditions, and you do not agree to such updated terms and conditions, you may give notice to cancel your subscription in accordance with the Cancellation clause above.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations under any Product Package if such failure or delay is caused by an event beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government restrictions, natural disasters, pandemics, labour disputes, failures of suppliers, internet service providers, or hosting services, or illness or incapacity of key personnel at Sentiment Matters Ltd (a “Force Majeure Event”).
In such circumstances we shall:
(i) notify you as soon as reasonably practicable of the Force Majeure Event and, where possible, its expected duration;
(ii) use reasonable endeavours to mitigate the effects of the Force Majeure Event; and
(iii) resume performance of our obligations as soon as reasonably possible after the removal of the cause of the Force Majeure Event.
A Force Majeure Event may lead to a reduction in the products and services delivered in relation to a Product Package, proportionate to the duration of the Force Majeure Event.
If the Force Majeure Event continues for more than 60 days, either you or we may terminate this subscription by giving written notice in accordance with the Cancellation clause above.
We accept no liability for any loss or damage caused by the non-delivery of products or services as a result of a Force Majeure Event.
Withdrawal of a Product Package
We reserve the right to withdraw a particular Product Package at any time. Where you have an annual subscription to an affected Product Package, we will give you notice of such withdrawal and your annual subscription shall be cancelled. Refunds of subscription fees paid shall be made in accordance with the Refunds clause below.
Refunds
Refunds of subscription fees paid are only due following the occurrence of one of the following events:
(i) a cancellation as a result of a material change to these terms and conditions, as set out in the Cancellation clause above; or
(ii) following a cancellation as a result of a Force Majeure Event, as set out in the Force Majeure clause above; or
(iii) following a Product Package withdrawal, as set out in the Withdrawal of a Product Package clause above.
In each case, refunds shall be calculated as follows. (Number of full months of subscription outstanding (calculated from the calendar date on which the subscription began) minus 2) x (annual subscription fee divided by 10).
Limitation of Liability
We accept no liability for any losses you may incur, including but not limited to loss of profit, loss of business opportunity, loss of revenue, loss or corruption of data, loss of anticipated savings or any indirect or consequential loss or damage arising out of or in connection with any products or services provided under a Product Package, whether in contract, tort (including negligence), breach of statutory duty, or otherwise.
Our total aggregate liability to you arising out of or in connection with these terms and conditions as well as any products or services provided under a Product Package shall not exceed the total subscription fees paid by you under a relevant Product Package in the 12 months preceding the event giving rise to the liability.
Notwithstanding the forgoing, nothing in this agreement shall exclude liability for fraud or fraudulent misrepresentation or for any other liability which cannot be excluded or limited under applicable law.
Indemnity
You hereby indemnify us, and undertake to keep us indemnified, against any and all losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute) incurred or suffered by us and arising directly or indirectly out of your use of any products or services provided under a Product Package or the Website or any breach by you of any provision of these terms and conditions.
Other Documents
By agreeing to these terms and conditions, you are deemed to have read and agreed the terms of our Privacy Policy, Data Protection Policy and Disclaimer, each as published on the Website and as updated from time to time.
Governing Law
These terms and conditions shall be governed by and construed in accordance with English law.
Any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
